    Contractors Preferences:

    Before reviewing the contract, the initial step is to understand our client’s preferences on matters such as payment terms and retentions.

    Main Items to Address:

    Once there is an understanding of these key items a full review of the contact is undertaken. The main items to be reviewed are:

    • Identifying any items in the scope of works that have not been accounted for in the quotation.
    • Determining if the contract documents are as per the documents issued at the tender stage.
    • Review of the contract program and identification of any issues and unrealistic time frames based on our clients· available resources to undertake the project.
    • Identification of any unreasonable clauses or requirements.
    • Identifying the insurance requirements specified in the contract.
    • Conducting a review aimed at minimising liability within the contract.

    Recommendations:

    After concluding this review, we will compile a set of recommendations for our client’s review before they are issued to the builder.

    Critical Clauses:

    An internal email will additionally be issued, highlighting crucial clauses to note, and identifying those necessary for effective contract management, including provisions for variations, Extensions of Time [EOTs]. and other relevant aspects.

    Negotiation:

    The builder’s response will undergo thorough review, followed by the drafting of a corresponding response. Additionally, an internal email will be circulated, delineating the risks associated with the builder’s stance and offering guidance on the appropriate course of action. This iterative process will persist until a final agreement on the contract is reached.
